Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Rivyt, provided by Naveiyra LLC (“Rivyt”, “we”, “us”). By using Rivyt you agree to these Terms.

1. Your Account

You must be at least 18 years old and authorized to act on behalf of the organization you represent. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

2. Acceptable Use

You agree not to:

  • Upload content you do not have the right to process
  • Upload content that is illegal, infringing, or harmful
  • Attempt to reverse-engineer, decompile, or interfere with the service
  • Use Rivyt to develop a competing product
  • Share your account with unauthorized users
  • Probe or scan for vulnerabilities without authorization

3. Your Content

You retain all rights to the documents and content you upload. You grant Rivyt a limited license to process your content solely for the purpose of providing the service (indexing, embedding, retrieval, and response generation).

You represent that you have the right to upload any content you provide and that the content does not violate any third-party rights.

4. Our Service

We provide Rivyt on an “as available” basis. We may modify, suspend, or discontinue features with reasonable notice. We will work in good faith to maintain service availability and performance but do not guarantee uninterrupted service during pilot programs.

5. Pilot Program Pricing

Rivyt is currently in a pilot phase. Pricing and terms for pilot customers are set out in individual pilot agreements. These Terms apply in addition to any pilot agreement; in case of conflict, the pilot agreement governs.

6. Intellectual Property

Rivyt, including all software, design, and documentation, is owned by Naveiyra LLC and protected by applicable intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the service.

7. Termination

You may terminate your account at any time. We may suspend or terminate your account for breach of these Terms, non-payment, or as required by law. On termination, your access ends and your data is deleted per our Privacy Policy.

8. Disclaimers

RIVYT IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT ANSWERS GENERATED BY THE SERVICE WILL BE COMPLETE OR FIT FOR ANY PARTICULAR PURPOSE. YOU ARE RESPONSIBLE FOR VERIFYING ANY INFORMATION PROVIDED BY RIVYT BEFORE RELYING ON IT IN OPERATIONAL OR SAFETY-CRITICAL CONTEXTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NAVEIYRA LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Naveiyra LLC from any claims arising out of your use of Rivyt, your content, or your violation of these Terms.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute shall be resolved in the state or federal courts located in Delaware.

12. Changes

We may update these Terms. Material changes will be communicated in advance. Continued use of Rivyt after the effective date constitutes acceptance of the revised Terms.
